1. Interpretation and definitions

Business: Refers to The Flourish Desk, a virtual assistant sole trader operating in the United Kingdom.

Client: Any individual, company, or organization that engages with our services.

Services: All virtual assistant services, including but not limited to administrative support, scheduling, email management, research, and other related services as described on our website and promotional materials.

Agreement: These Terms and Conditions, including any additional written or electronic agreements between the Business and the Client.

2. Services Provided

The Business offers virtual assistant services designed to support your administrative and operational needs.

These services include, but are not limited to:

Email management

Appointment scheduling

Data entry and record keeping

Content creation

Research and report preparation

The exact scope of services will be outlined in your engagement or service agreement. Any additional work that falls outside the agreed scope may be subject to extra charges.

3. Engagement and Contract Formation

Engagement Process: By contacting the Business and accepting a quotation or proposal, the Client is making an offer to engage our services. The contract will be formed upon a written or email confirmation from the Business indicating acceptance of the Client’s offer.

Amendments: Any changes to the scope of services or pricing shall only be effective if set out in writing and agreed upon by both parties.

4. Payment Terms

Fees: Fees for services are as quoted on our website, in email correspondence, or as determined in a bespoke engagement agreement. All prices are stated in British Pounds (GBP) and are exclusive of VAT, unless otherwise stated.

Invoicing: Invoices will be issued according to the agreed payment schedule (e.g., weekly, monthly, or upon completion of specific projects). The Client agrees to settle all invoices within the payment period specified on the invoice.

Late Payments: Late payments may incur interest charges at a rate permitted by law. The Flourish Desk reserves the right to suspend services if invoices remain unpaid beyond the agreed terms.

5. Cancellation and Refund Policy

Cancellation by the Client: Clients wishing to cancel regular service engagements or specific projects must provide written notice at least [insert notice period, e.g., 14 days] in advance. Cancellation may be subject to a fee depending on the stage of work completed.

Refunds: Refunds will be considered on a case-by-case basis. If a project or service is cancelled before completion, any work completed up to that point will be invoiced, and any excess amounts paid may be refunded at the discretion of the Business.

Cancellation by the Business: The Business reserves the right to cancel or suspend services with reasonable notice if circumstances arise that prevent the continuation of services (e.g., non-payment, breach of these terms, or unforeseen events).

6. Confidentiality and Data Protection

Confidential Information: Both parties acknowledge that in the course of delivering services, confidential and sensitive information may be exchanged. Both the Business and the Client agree to treat such information confidentially and not to disclose it to third parties unless required by law.

Data Protection: The Business complies with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR). Any personal data provided by the Client will be processed securely and solely for the purpose of providing virtual assistant services. 7. Intellectual Property

Ownership: Any content or data provided by the Client remains the property of the Client. Any original materials, templates, or documents created exclusively by the Business during the provision of services remain the intellectual property of the Business unless otherwise agreed in writing.

Usage Rights: The Client is granted a non-exclusive, non-transferable license to use any deliverables provided by the Business solely for the purposes agreed upon. Any further use, reproduction, or distribution without prior written consent from the Business is prohibited.

8. Limitation of Liability and Disclaimers

Liability: The Business will take all reasonable care in providing services but excludes liability for any indirect or consequential losses suffered by the Client arising from the use of or reliance upon the services. The total liability of the Business in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by the Client for the services in question.

Disclaimers: The services are provided “as is” and “as available” without any warranties, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose. The Business does not warrant that the services will always meet the Client’s requirements, be uninterrupted, error-free, or that defects will be corrected.

9. Termination of Contract

Termination for Cause: Either party may terminate the contractual engagement if the other party breaches a material term of these Terms and Conditions and fails to remedy the breach within a reasonable period after receiving notice in writing.

Effects of Termination: Termination of the contract will not affect any rights or liabilities accrued prior to termination. Client shall be responsible for payment of all services rendered up until the effective date of termination.

10. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. The parties agree that any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Amendments and Variations

The Flourish Desk reserves the right to update or amend these Terms and Conditions from time to time. Any changes will be communicated to the Client via email or through our website. Continued use of our services after such changes constitutes acceptance of the revised terms.

12. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
